Terms of Sale

Effective date: October 1, 2026

For laboratory research use only. Not for human or veterinary use. Not for injection, ingestion or any clinical use.

These Terms of Sale ("Terms") apply to every purchase from tinybac.com. Please read them before you order. By placing an order, you agree to these Terms and to our Research Use Policy, Shipping Policy, Refund Policy and Privacy Policy. Those policies are part of these Terms.

1. Who we are

TinyBac is a trade name of JNI BIOTECH LIMITED, a Hong Kong limited company, with its business address at RM 2702, 27/F, WU CHUNG HOUSE, 213 QUEEN’S RD EAST, WAN CHAI, HONG KONG ("TinyBac", "we", "us" or "our"). You can reach us at support@tinybac.com.

"You" means the person who places an order, and any organization that person orders for.

2. What we sell

We sell one product: bacteriostatic water, supplied as 3 mL of water with 0.9% benzyl alcohol in a sealed glass vial, as a single vial or in packs of 3, 10, 20 or 50 vials (the "Product").

  • We sell the Product only as a laboratory reagent for research use.
  • The Product has not been approved, cleared or licensed by the U.S. Food and Drug Administration or any other agency for use in humans or animals. We do not sell it as a drug, food, cosmetic, dietary supplement or medical device.
  • We do not provide instructions for use. Nothing we publish, send or print on a label is an instruction for use.
  • Product images are for illustration. Labels and packaging may change.

3. Research use only

The Product is for in vitro laboratory research and analysis only. Our Research Use Policy sets out permitted and prohibited uses. If these Terms and the Research Use Policy differ, the stricter rule applies.

4. Who can buy

To buy from us, you must:

  • be at least 21 years old;
  • be able to enter into a binding contract, and have authority to bind any organization you order for;
  • have a shipping address in the United States (see our Shipping Policy); and
  • buy the Product only for laboratory research use.

5. Your representations

Each time you place an order, you confirm that:

  1. You are 21 or older.
  2. You are buying the Product for laboratory research use only.
  3. You, and anyone who handles the Product for you, are trained in laboratory handling and will follow the vial label, any documentation supplied with the lot, and your own laboratory procedures.
  4. You will not use the Product, or allow anyone to use it, in or on a human or an animal.
  5. You will not resell, give away or transfer the Product for human or veterinary use. If you transfer the Product to another laboratory, you will pass on these restrictions in writing, and the recipient must accept them.
  6. You will follow all laws that apply to your purchase, storage, use and disposal of the Product.
  7. The information you give us is true and complete.

We rely on these statements when we accept and ship your order. If any of them is untrue, you are in breach of these Terms.

6. Prohibited uses

You must not use the Product, or allow anyone else to use it, for any of the following:

  • Any use in or on a human or an animal. Not for injection, ingestion, inhalation, topical application or any clinical use.
  • Diagnosing, treating, curing, mitigating or preventing any disease or condition.
  • Making, compounding or preparing any product meant for use in or on humans or animals.
  • Use as, or in, a food, beverage, dietary supplement or cosmetic.
  • Household or personal use outside a laboratory.
  • Resale, promotion or transfer for any of the uses above.
  • Any use that breaks federal, state or local law.

7. Orders, acceptance and cancellation

How an order becomes a contract.

  • Your order is an offer to buy. Our order confirmation email only tells you that we received it. It is not acceptance.
  • We accept your order when we ship it and send you a shipping confirmation.

Our right to refuse or cancel. We may refuse, limit or cancel any order, in whole or in part, before or after we confirm it. Reasons include:

  • signs that the Product may be used in or on people or animals, including anything said in order notes, emails or other messages;
  • signs that the buyer is under 21;
  • a shipping address outside the United States, or a freight forwarder or package reshipping service;
  • order patterns that suggest resale for prohibited uses;
  • failed payment, address or fraud checks;
  • errors in price, description or availability; and
  • any other breach of these Terms.

We may ask you to confirm your identity, age or intended use before we ship. If you do not reply, we may cancel the order.

We may limit quantities per order, per customer or per address.

If we cancel an order after you have paid, we refund the full amount, including shipping, to your original payment method.

Your right to cancel. You may cancel an order at any time before it ships. Email support@tinybac.com with your order number. Once an order has shipped, our Refund Policy applies.

8. Prices, taxes and payment

  • Prices are in US dollars. We may change prices at any time. The price that applies is the one shown when you place your order.
  • We charge sales tax where the law requires it. It is shown at checkout before you pay.
  • A third-party payment provider processes your payment. We do not see or store your full card number.
  • The payment methods available for your order are displayed at checkout.
  • If you think a charge is wrong, please contact us first. We can usually fix it faster than a card dispute.

9. Shipping, title and risk of loss

We ship only to addresses in the United States. Shipping times, carriers and costs are set out in our Shipping Policy.

Title to the Product and risk of loss pass to you when the carrier delivers your order to the shipping address you gave us.

10. Returns and refunds

Returns and refunds are covered by our Refund Policy. Because the Product is a sealed laboratory reagent, we cannot accept opened vials.

11. Limited warranty

We warrant that, when shipped, the Product matches its stated product description. Where a lot-specific COA is supplied, this warranty includes the measurements stated in that matched report. Follow the vial label and supplied product documentation for storage.

If you believe the Product does not meet this warranty, tell us when you notice the problem. Your only remedy is replacement of the affected vials or a refund of what you paid for them, at our choice.

This warranty does not cover damage caused by misuse, improper storage, handling after delivery, or any use that breaks these Terms.

EXCEPT FOR THIS LIMITED WARRANTY, THE PRODUCT IS SOLD "AS IS". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT THE RESULTS OF ANY RESEARCH.

12. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR LOST RESEARCH, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
  • WE ARE NOT LIABLE FOR ANY LOSS OR HARM THAT ARISES FROM USE OF THE PRODUCT IN BREACH OF THESE TERMS, INCLUDING ANY USE IN OR ON A HUMAN OR AN ANIMAL.
  • OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

Some states do not allow some of these limits. Where that is the case, the limits apply only as far as the law of that state allows.

13. Indemnity

You agree to defend, indemnify and hold harmless JNI BIOTECH LIMITED and its owners, officers, employees and agents from any claims, losses, damages, fines and costs, including reasonable legal fees, that arise from:

  • your breach of these Terms, including the representations in Section 5;
  • any use of the Product by you, or by anyone you gave it to, in breach of these Terms; or
  • your violation of any law.

14. Quality notices and recalls

If we learn of a quality problem with a lot, we will email buyers of that lot at the address on their order. You agree to follow our instructions, which may include stopping use of the affected vials and returning or disposing of them. Keep your order details and vial labels so the affected lot can be identified.

15. Export

You may not export the Product from the United States or send it to anyone outside the United States.

16. Governing law and disputes

These Terms are governed by applicable law, without reference to conflict-of-laws rules. Disputes are resolved by a competent court with jurisdiction over the matter.

Before you file any claim, please email support@tinybac.com and give us 30 days to try to resolve it informally.

17. Changes to these Terms

We may update these Terms from time to time. The version posted when you place an order applies to that order. The effective date at the top shows when these Terms last changed.

18. General

  • These Terms, with the policies named above, are the whole agreement between you and us about your order.
  • If a court finds any part of these Terms unenforceable, the rest stays in effect.
  • If we do not enforce a right straight away, we have not waived it.
  • You may not transfer your rights under these Terms. We may transfer ours, for example if our business is sold.
  • We are not liable for delays caused by events outside our reasonable control, such as carrier disruptions, severe weather or supply shortages.
  • We communicate by email. An email we send to the address on your order counts as written notice.
